2. Definitions

3. Use of the Website — information purposes only

By accessing the Website, you agree to these Terms of Use in full. All material on the Website is provided for general information and educational purposes only. It does not constitute legal, accounting or professional advice of any kind and cannot be relied upon as such.

If you require professional or legal advice, we recommend you consult a qualified party before acting on any information available on this Website. No client/lawyer relationship is established by your use of the Website or any products or services purchased through it.

You accept that any comments you post on our Website or social media pages are visible to the public, and that we have no control over or liability for how that information is used by third parties.

4. Links to third-party websites

The Website may contain links to third-party websites provided for information and convenience only. The inclusion of any link does not imply endorsement of the linked site or any association with its operators, nor should it be taken as an encouragement to purchase or use any third-party products or services.

Linked websites are not controlled by FlewLate. We are not responsible for the content or availability of any linked website and accept no liability for any loss or damage arising from your use of them.

5. Intellectual property

All content on this Website and its social media channels, including but not limited to text, documents, graphics, logos, icons, images, and software, is the property of FlewLate or its content suppliers and is protected by applicable intellectual property laws. The FlewLate name and logo are trading names and marks of MC Consulting LDN Limited.

You may not reproduce, distribute, modify, transmit or otherwise use any content from this Website or its social media channels without our prior written consent, except for personal, non-commercial use. Nothing in these Terms of Use grants you any licence or right to use any intellectual property belonging to FlewLate or any third party. FlewLate reserves the right to pursue all available legal remedies in respect of any damages caused by infringement of these rights.

6. Your account

If you register an account with us, you are solely responsible for maintaining the confidentiality and security of your account credentials. You must not disclose your account information to any third party. You agree to notify us immediately of any unauthorised use of your account at help@flewlate.com.

FlewLate shall not be liable for any losses arising from unauthorised use of your account. You agree to indemnify us against any loss or damage we incur as a result of a breach of this clause.

7. Your privacy and data protection

We take the protection of your personal data seriously and will process it in accordance with our Privacy Policy, which forms part of these Terms of Use. We will not sell your personal data or make it available to any third party without your prior consent, except where necessary to operate our services or as required by law.

If you provide us with personal data relating to a third party, you confirm that you have obtained all necessary consents and that you have made that person aware of our Privacy Policy. You agree to indemnify us against any liability arising from your failure to comply with this obligation.

8. Consumer cancellation rights

If you are a consumer in the UK, you have a statutory right to cancel a contract entered into online for goods or services within 14 calendar days from the day after the transaction was made (the “cooling-off period”). Any cancellation must be submitted in writing.

Please note that where we have already begun fulfilling our obligations under the contract before you exercise your right to cancel, your right to cancel may be limited or lost. In such cases, we reserve the right to retain payment as fair recompense for work already carried out, including administrative and operational costs incurred.

9. Force majeure

A force majeure event means any event beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, strikes, accidents, delays in transportation, or shortages of materials or equipment.

If such an event affects our ability to provide services, we will make reasonable efforts to mitigate any delay and will notify you as soon as practicable. If the event continues for more than 14 days, either party may terminate the agreement.

10. Suspension and termination

FlewLate reserves the right to suspend or withdraw your access to the Website at any time without prior notice and without providing reasons for doing so. We also reserve the right to remove any services or parts of the Website where necessary to ensure legal compliance.

11. Notices

Any notice required under these Terms of Use shall be in writing in the English language and sent by email. Notices to FlewLate should be sent to help@flewlate.com. Notices to you will be sent to the email address associated with your account or used to contact us.

Notices shall be deemed received on the day of sending, unless sent outside normal business hours, in which case they shall be deemed received on the next working day.

12. General

If any provision of these Terms of Use is found to be unlawful, invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

No waiver by FlewLate of any right shall prejudice its ability to enforce that right in the future.

Nothing in these Terms of Use confers any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.

Where Specific Terms and Conditions apply to a product or service, those terms take priority over these Terms of Use in the event of any conflict.

13. Governing law and jurisdiction

These Terms of Use and your use of the Website are governed by the laws of England and Wales. The English courts shall have exclusive jurisdiction over any dispute arising from your use of the Website or the purchase of any products or services through it.
